Encompasses all digital business solutions provided by The Economic Riders, including but not limited to:

Digital transformation consultingBrand development and strategyAI and automation implementationBusiness scaling methodologiesEducational courses and training programsAffiliate and partnership programs

1.3 "Client"

Any individual, business entity, or organization that:

Purchases or subscribes to our ServicesAccesses our digital content or resourcesEngages with our team for consultationsParticipate in our programs or partnerships

1.4 "Content"

All intellectual property created and distributed by The Economic Riders, including:

Written materials (guides, reports, blog posts)Digital products (templates, frameworks)Multimedia (videos, webinars, podcasts)Course materials and training resourcesSoftware tools and proprietary systems

1.5 "Parties"

Refers collectively to The Economic Riders (service provider) and the Client (recipient of services).

1.6 "Confidential Information"

Any non-public, proprietary information disclosed between Parties, including:

Business strategies and processesFinancial informationClient lists and case studiesUnreleased products or services

1.7 "Effective Date"

The date when:

A Client completes the purchase of ServicesBoth Parties sign a Service AgreementThe client first accesses our digital resources

1.8 "Third-Party Services"

External platforms, tools, or providers that may be integrated with our Services, such as:

Payment processors (Stripe, PayPal)CRM platforms (HubSpot, Salesforce)Marketing tools (Google Ads, Meta)Communication platforms (Zoom, Slack)

1.9 "Subscription"

Any recurring payment plan for ongoing Services, including:

Monthly/Annual consulting retainersMembership site accessSoftware-as-a-Service (SaaS) offerings

1.10 "Force Majeure"

Unforeseeable circumstances preventing service delivery, including:

Natural disastersGovernment actionsPandemicsInternet/utility failures

This section provides the foundational terminology for interpreting all provisions within these Terms & Conditions. All capitalized terms used throughout this agreement shall carry the meanings defined above unless otherwise specified.

2. Use of Services

By accessing or using The Economic Riders' website, services, or content, you agree to the following terms regarding proper use:

2.1 Eligibility Requirements

You must be at least 18 years old or have legal parental/guardian consent to engage with our services.

Businesses or organizations must have proper authorization to enter into agreements on their behalf.

2.2 Account & Information Accuracy

When creating accounts, purchasing services, or submitting inquiries, you must provide current, complete, and accurate information.

You are responsible for maintaining the confidentiality of any login credentials and for all activities under your account.

2.3 Permitted Use

You may use our services only for lawful purposes to:

✔ Legitimately promote our affiliate programs (if enrolled)

2.4 Prohibited Conduct

You may NOT:

We reserve the right to modify, suspend, or discontinue any services at any time without liability.

Prices, offerings, and policies may be updated with notice (except where immediate changes are required).

2.6 Third-Party Services

Some services may integrate with third-party platforms (e.g., payment processors, and SaaS tools).

You agree to comply with their respective terms, and we are not liable for their performance.

3. Payments & Refunds Policy

3.1 Payment Terms

3.1.1 Service Fees

All fees for services will be clearly stated in your proposal or checkout page

We accept major credit cards, bank transfers, and select digital payment methods

Payment plans must be maintained on schedule - missed payments may pause services

3.1.2 Subscription Services

Recurring charges will continue until the cancellation

You may cancel anytime via your client portal

No prorated refunds for partial subscription periods

3.1.3 Custom Projects

A 50% deposit is required to begin work

Final payment due before delivery of completed work

Rush fees (25-50% premium) may apply for expedited timelines

3.2 Refund Policy

3.2.1 Digital Products & Courses

7-day money-back guarantee from the purchase date

Must show proof of completing 50%+ of materials before refund request

Refunds processed within 14 business days

3.2.2 Consulting Services

No guaranteed results - refunds evaluated case-by-case

Must demonstrate good faith effort implementing our strategies

Refund requests must be made within 30 days of service completion

3.2.3 Non-Refundable Items

Completed custom branding assets

Strategy sessions already conducted

Third-party software/tool purchases

3.2.4 Refund Process

Include the reason for the request and supporting documentation

Allow 10-15 business days for review and processing

3.3 Late Payments & Collections

Services paused after 15 days of non-payment

Accounts 30+ days overdue may be sent to collections

3.4 Disputes & Chargebacks

Any chargeback will immediately suspend all services

Dispute handling fee applies to all chargebacks

We reserve the right to pursue legal action for fraudulent disputes

Note: We may make exceptions to this policy at our discretion for extenuating circumstances. All refund percentages are based on the amount paid, not the perceived value of services.


4. Intellectual Property Rights & Usage

4.1 Ownership of Materials

All content, materials, and resources provided by The Economic Riders, including but not limited to:

Business strategies, frameworks, and methodologies

Digital courses, training materials, and workbooks

Branding assets, logos, and design templates

Website content, copy, and graphics

Proprietary software, tools, and systems

Remain the exclusive property of The Economic Riders and are protected under international copyright, trademark, and intellectual property laws.

4.2 Limited License Grant

Upon payment for services, Clients are granted a:

✅ non-exclusive, non-transferable, revocable license to use purchased materials

✅ Single-user or single-business access (depending on service tier)

 Lifetime access to digital products (unless otherwise specified)

4.3 Strictly Prohibited Actions

❌ Redistribution – Selling, sharing, or giving away our materials

❌ Reverse Engineering – Decompiling or replicating our systems

❌ Claiming Ownership – Presenting our work as your own

❌ Mass Reproduction – Creating copies for teams beyond the licensed size

❌ Derivative Works – Modifying and republishing our content

4.4 Copyright Enforcement

Digital Millennium Copyright Act (DMCA) Compliance: We actively monitor for violations and will:

Issue takedown notices for unauthorized use

Pursue legal action for willful infringement

Claim statutory damages of up to $150,000 per violation (US Copyright Law)

4.5 Client-Created Content

Any original materials you provide to us (logos, business info, etc.):

Remain your property

Grant us limited rights to use for service delivery

Will never be sold or shared with third parties

4.6 Trademark Protection

"The Economic Riders" name, logo, and taglines are registered trademarks. Unauthorized use may result in:

Immediate cease-and-desist orders

Account Termination

Legal proceedings

4.7 Fair Use Policy

You may:

✔ Quote brief excerpts with clear attribution

✔ Share purchase links to our official content

✔ Use screenshots for personal reference (not redistribution)

Violations will result in immediate service termination and may lead to legal action. All rights reserved.

5. Client Responsibilities

By engaging with The Economic Riders ("we," "us," or "our"), you ("Client") acknowledge and agree to the following responsibilities:

5.1 Implementation & Execution

The Client is solely responsible for implementing strategies, tools, and recommendations provided by The Economic Riders.

We provide guidance, frameworks, and expertise, but final execution and outcomes depend on the Client’s efforts, market conditions, and business adaptability.

The Client agrees that no guaranteed results are promised, as success depends on multiple external factors beyond our control.

5.2 Compliance with Laws & Regulations

The Client must operate their business in full compliance with all applicable local, national, and international laws, including but not limited to:

Data protection (GDPR, CCPA, etc.)

Advertising & marketing regulations (FTC, CAN-SPAM, etc.)

Tax and financial reporting requirements

The Economic Riders is not liable for any legal violations committed by the Client.

5.3 Financial & Operational Risks

The Client acknowledges that business growth strategies involve financial risk, including but not limited to:

Advertising spend (ROI not guaranteed)

Hiring, scaling, or operational changes

Market fluctuations & competition

The Client agrees that The Economic Riders is not a financial advisor and that all monetary decisions are made at the Client’s discretion.

5.4 Third-Party Tools & Services

Some strategies may require the use of third-party software, platforms, or services (e.g., CRM tools, ad networks, payment processors).

The Client is responsible for:

Researching and selecting appropriate tools.

Complying with third-party terms & policies.

Managing subscriptions, fees, and integrations.

The Economic Riders does not endorse or guarantee third-party services.

5.5 Confidentiality & Data Security

The Client is responsible for:

Securing their business data (passwords, customer information, financial records).

Maintaining backups of critical files.

Protecting login credentials for any systems we assist with.

The Economic Riders will never request sensitive passwords unless explicitly required for setup (e.g., tech integrations), and we recommend using secure sharing methods.

5.6 Communication & Timeliness

For optimal results, the Client agrees to:

Respond promptly to requests for information or approvals.

Provide accurate business data when requested.

Attend scheduled calls/meetings or reschedule with 24+ hours' notice.

Delays in communication may impact service delivery timelines.

5.7 Non-Disparagement

The Client agrees to resolve disputes professionally and not engage in public defamation, slander, or harmful reviews before attempting a good-faith resolution with The Economic Riders.

5.8 Indemnification

The Client agrees to indemnify and hold harmless The Economic Riders from any claims, damages, or liabilities arising from:

Misuse of our strategies.

Violation of laws or third-party rights.

Unauthorized sharing of proprietary materials.

The Economic Riders act as a consultants—not a business operator. The Client retains full responsibility for their business decisions, compliance, and outcomes.

6. Limitation of Liability

6.1 No Guaranteed Results

The Economic Riders provides strategic consulting, digital services, and educational products designed to help businesses grow. However, we do not guarantee specific outcomes, earnings, or success metrics. Your results will depend on numerous factors including but not limited to:

Your level of effort and commitment

Market conditions and competition

Changes in technology or industry trends

Proper implementation of our strategies

6.2 Financial & Legal Disclaimer

We are not financial advisors, lawyers, or accountants. Any business decisions you make based on our advice are your sole responsibility.

You agree that The Economic Riders, its employees, and affiliates are not liable for:

Loss of revenue, profits, or data

Business interruptions or failures

Damages from third-party tools (e.g., software, ad platforms)

Unforeseen market shifts or economic changes

6.3 Maximum Liability Cap

In the unlikely event of a legal claim, our total liability is strictly limited to the amount you paid for our services in the last 6 months. We will not be responsible for indirect, incidental, or consequential damages.

6.4 Force Majeure

We are not liable for delays or failures in service caused by:

Natural disasters

Cyberattacks or technical failures

Government regulations

Pandemics or other emergencies

6.5 Third-Party Services

We may recommend tools, software, or platforms (e.g., CRM systems, and ad networks). We do not endorse or control these services and are not responsible for:

Their functionality or downtime

Data breaches or privacy issues

Billing or subscription terms

6.6 Indemnification

You agree to hold harmless and indemnify The Economic Riders against any claims arising from:

7. Termination of Services

7.1 Termination by The Economic Riders

We reserve the right to immediately suspend or terminate your access to our services, without prior notice or liability, for any reason including but not limited to:

Non-Payment: Failure to complete required payments for services rendered

Fraudulent Activity: Any attempt to deceive, scam, or engage in illegal conduct

Abusive Behavior: Harassment, threats, or inappropriate conduct toward our team

Misuse of Services: Unauthorized sharing, reselling, or exploitation of our intellectual property

Upon termination:

All-access to services, memberships, and digital products will be revoked

No refunds will be issued for terminated accounts due to violations

Legal action may be pursued for damages caused by breaches

7.2 Termination by Client

You may discontinue use of our services at any time by:

Canceling recurring subscriptions (if applicable)

Refund eligibility upon voluntary cancellation:

Digital Products/Courses: May qualify for a partial refund per our refund policy

Consulting Services: No refunds for work already performed

After 90 days, data may be permanently deleted from our systems

We reserve sole discretion to approve or deny reinstatement requests.

8. Dispute Resolution (South Africa Specific)

At The Economic Riders, we are committed to fair and efficient resolution of any disputes that may arise. This clause outlines the process for resolving disagreements under South African law.

8.1 Good Faith Negotiation (Mandatory First Step)

Before escalating any dispute, both parties agree to:

Provide written notice of the dispute via email to [email protected] within 14 days of the issue arising

Engage in good faith negotiations for at least 30 days to reach an amicable solution

Designate senior representatives with authority to settle the dispute

8.2 Mediation Process

If negotiation fails, the parties will attempt mediation:

Mediation will be conducted in Johannesburg unless otherwise agreed

The mediator will be appointed by the AFSA (Arbitration Foundation of Southern Africa)

Each party bears 50% of mediation costs

The mediation process will be completed within 60 days of initiation

8.3 Arbitration Process

If mediation is unsuccessful, binding arbitration will follow:

Conducted under AFSA rules for commercial disputes

The arbitration will take place in Sandton, Gauteng

The arbitration will be conducted in English

The arbitrator's decision is final and binding with limited rights of appeal

Key Arbitration Terms:

✔ Single arbitrator for claims under R1,000,000

✔ Three arbitrators for larger claims

 Strict confidentiality of proceedings

✔ No class actions permitted

✔ Limited discovery process

8.4 Legal Proceedings

Either party may approach the court for:

Urgent interim relief

Enforcement of arbitration awards

Matters relating to intellectual property rights

8.5 Governing Law

These terms are governed by and interpreted according to:

The laws of South Africa

The Consumer Protection Act (CPA) where applicable

The Electronic Communications and Transactions Act

8.6 Legal Costs

The unsuccessful party in arbitration or litigation will generally be liable for:

The successful party's reasonable legal costs

Administrative fees of the dispute resolution process

8.7 Alternative Dispute Resolution for Consumers

South African consumers may:

Lodge complaints with the National Consumer Commission

Utilize industry ombudsman schemes where applicable

Access the Consumer Goods and Services Ombud for certain disputes

Venue - all proceedings will be in Gauteng unless otherwise agreed

9. Modifications to Terms & Conditions
